Affiliate Program Terms

The substantive terms below are accurate to the shipped system, but the agreement has not yet been reviewed by counsel. These Affiliate Program Terms ("Terms") govern your participation in the Bulk Business Card Scanner (operated by Zyzyva LLC) Affiliate Program (the "Program"). By enrolling, you agree to be bound by these Terms. Zyzyva LLC ("we," "us") reserves the right to modify the Program at any time as set out in Section 9.

1. Eligibility

To enroll in the Program you must be at least 18 years old and able to enter binding contracts in your jurisdiction. You may enroll as an individual or on behalf of a business. You may not enroll if you are currently subject to any sanctions or trade restrictions that would prevent Zyzyva LLC from paying you. You may not refer yourself — the discount eligibility check enforces this at checkout.

2. Commission Terms

We pay you 30 percent of the net amount we actually collect on each subscription that one of your referred customers maintains, for as long as that customer's subscription remains continuously active. The commission base is the net amount post-discount, not the catalog price — when your referred customer takes the 20 percent referral discount, your commission is calculated on the discounted amount.

This is intentional, and it is the design choice that aligns our incentives with yours: every billing cycle a referred customer renews, you earn on it. We pay you to drive the kind of customer who stays.

  • Attribution window: A customer is attributed to your account on first touch — once their account is stamped with your referral code, subsequent links from other affiliates do not overwrite the attribution.
  • Customer-side discount: Your referred customers receive 20 percent off their subscription for the entire lifetime of that subscription. The discount continues even if you later leave the Program (see Section 6).
  • Active customer required: Commission accrues only while the customer's subscription is active. If the customer cancels, the commission stream stops the period after cancellation, but pending commissions already earned remain payable.

3. Payment Schedule

Commissions earned in a calendar month are paid on the 15th of the following month via Venmo or PayPal, at the affiliate's choice. You provide your Venmo handle or PayPal email address when you enroll. We do not currently support wire transfers, cryptocurrency, or other payout methods at this stage of the Program.

Commissions are held for a 60-day clearing period before becoming payable. This window allows refund and chargeback events to settle. A commission earned on a charge that occurred in March, for example, becomes payable on the May 15th payout (the 15th of the month following the close of the 60-day hold).

Minimum payout threshold is $25 USD. Balances below the threshold roll over to the next payout cycle until they exceed it.

4. Clawback and Refund Handling

If a referred customer's charge is refunded or charged back, the corresponding commission is clawed back. The clawback applies whether the refund is partial or full and regardless of the outcome of any chargeback dispute. Clawback policy specifics:

  • A 30-day refund window on the original charge feeds the 60-day hold described above; the two together give us enough time to absorb the financial impact before money leaves the door.
  • Already-paid commissions on a charge that is later refunded create a debit balance on your next payout. Persistent debit balances may be settled by adjusting subsequent payouts or, in extreme cases, by direct invoice.
  • Clawback events are surfaced in your monthly statement so you can reconcile against your own records.

5. Affiliate Conduct

We require honesty, no spam, and no abuse of search-engine or social-network terms. Specifically, you agree not to:

  • Bid on Zyzyva LLC or any close-variant brand keywords on any paid search platform.
  • Send unsolicited bulk email or messages promoting the Program.
  • Make false or misleading claims about Zyzyva LLC or its product.
  • Create user accounts on behalf of customers, complete checkout using stolen or borrowed payment instruments, or otherwise manufacture conversions you did not legitimately drive.
  • Use cookie-stuffing, iframe injection, or any technique that attributes a conversion to your code without the customer's informed knowledge.
  • Misrepresent your relationship with Zyzyva LLC — you are an independent affiliate, not an employee, agent, or partner.

Conduct violations may result in clawback of all commissions earned through the violating activity and termination of your enrollment per Section 6.

6. Termination

Either party may terminate your enrollment in the Program at any time with written notice. Zyzyva LLC may terminate immediately for cause — including but not limited to Section 5 violations, non-payment of debit balances, or insolvency. Termination effects:

  • New conversions through your referral code stop attributing commission immediately upon termination.
  • Pending commissions earned before termination are paid out on the regular monthly schedule, net of any clearing period and clawbacks.
  • Discount continuity for already-referred customers is preserved. A customer you referred before termination continues to receive their 20 percent lifetime discount as long as their subscription stays active — we do not punish the customer for the affiliate relationship ending. This is documented in the Customer Terms of Service so the customer can rely on it.

7. Tax Responsibility

You are solely responsible for any taxes owed on commissions paid to you. Zyzyva LLC does not withhold taxes from payouts. If you are a U.S.-based affiliate and we pay you $600 or more in a calendar year, we will issue you an IRS Form 1099 in January of the following year and require you to complete a Form W-9 at enrollment time. Non-U.S. affiliates may be asked to complete a Form W-8BEN (or equivalent) so we can document the cross-border nature of the payment.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Zyzyva LLC's TOTAL LIABILITY TO YOU UNDER THESE TERMS IS LIMITED TO THE TOTAL UNPAID COMMISSIONS OWED TO YOU AT THE TIME THE CLAIM ARISES. WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOST PROFITS, LOST REVENUE, OR REPUTATIONAL HARM — ARISING FROM YOUR PARTICIPATION IN THE PROGRAM.

9. Modifications

We may modify these Terms or the Program structure (commission rate, payout schedule, discount rate) at any time. Material changes will be sent to your enrolled email address and posted on this page at least 30 days before they take effect. Continued participation after the effective date constitutes your acceptance of the modified terms. Already-earned commissions are not affected by future modifications — the rate in effect at the time a charge cleared determines the commission on that charge.

10. Governing Law

These Terms are governed by the laws of Tennessee, USA, without regard to its conflict-of-law provisions. Any dispute that cannot be resolved through good-faith discussion (start by emailing support) will be resolved in the courts of Tennessee, USA. Both parties consent to the personal jurisdiction of those courts and waive any objection based on inconvenient forum.
